The purpose of this Agreement is to explain the terms and conditions under which Local Minds will let you use the Application through your mobile device and/or use the Website (collectively, the “Purpose“).

1. ​First things first
These User Terms and Conditions (this “Agreement”), is a legal agreement between you and Local Minds AB, a Swedish company (“Local Minds”), which guides your use of and access to the Application (as defined below) and the Website (as defined below). If you don’t want to be bound by this Agreement, please do not access or use the Application and/or Website. Local Minds may terminate, without notice, your access to the Application and/or Website for failure to comply with this Agreement. By creating an account in the Application and/or on the Website, you accept this Agreement and agree to be bound by each of its terms. You also represent and warrant to Local Minds that:

You are at least sixteen years of age and have the authority to enter into this Agreement (either on your own behalf or by having a parent or legal guardian agreeing on your behalf)

This Agreement is binding and enforceable against you

To the extent an individual is accepting this Agreement on behalf of an entity, such individual has the right and authority to agree to all of the terms set forth herein on behalf of such entity

You have read and understand Local Minds Privacy Policy, the terms of which are posted at the Website and incorporated herein by reference (the “Privacy Policy”).
2. What is Local Minds?
Local Minds provides a digital platform via which registered Users (“Users”) can join Communities (See definition of “Community” below). The ambition of Local Minds as an intermediate digital service is primarily to help increase resident engagement within housing communities. Local Minds service strives to allow for Communities to become more sustainable by enabling a more productive and fun living environment.
Users of Local Minds Application and/or Website can create and attend to Activities (See definition of “Activity” below), in interaction with other Users connected to the same Community Group or the Community itself as an entity via Users with the right to represent, manage and administrate the Community in Local Minds Application and/or Website (“Community Administrators”).
Local Minds is a product under development. Local Minds therefore reserves the right to adapt, change, remove and add any feature within the Application and/or the Website. Features that are communicated by Local Minds in text, image or any other format will not in any way force or bind Local Minds to make said features available for registered Users within the Application and/or the Website.

3. The Service
In this Agreement, the term “Community” is defined as

a housing community including either rental properties or cooperatives or private owned properties or any other form of housing community where people are associated as inhabitants by residence or other interrelated connections
-
communities operating as an association e.g. student’s association or homeowner’s association or similar versions of an association.
In this Agreement, the term “Community Group” is defined as
-
a Community specific profile created in the Application and/or the Website, of which Users are able to join.

3.1. Signing up
To use Local Minds services made available through the Application and/or the Website, you are required to complete a registration process to create an account with Local Minds (“Account”). When you create your account you are given access to use Local Minds software platforms made available through Local Minds mobile application (“Application”) and/or its website located at www.localminds.se (the ” Website”) during the Term (as defined below) solely for the Purpose. Creating your Account offers you to:

Join Community Groups within the Application and/or Website

Create an Activity and/or show an explicit interest in executing an Activity (“Interact”) with other Users and/or the Community Administration within Community Groups.

Find information about other Users.

Receive and claim Rewards (See definition of “Rewards” below).

Edit personal information, which includes but is not limited to, your full name, profile picture, contact information, individual skills.

Represent the Community as an entity, as a Community Administrator, if given such permissions.
How Local Minds may store and use the personal information provided by you when registering for an Account and/or using the Application and the Website is set out in the Privacy Policy.
You as a User take full responsibility for providing correct personal information that is in coherence with your legal/registered residence. You may not use Profile Pictures of others than yourself or objects that may be offensive to others or patently questionable. A User of the Application and/or Website is not allowed to have more than one registered account.

You are not allowed to create and use multiple accounts for your own use. Misuse can lead to irreversible bans from the Application and/or the Website.
Only registered Users are allowed to attend an Activity created through the Application and/or the Website. Accounts are personal. Sharing of accounts is not allowed and it is not allowed to let another person use your Local Minds account. Users are not allowed to purchase services through Local Minds indirectly from or solely interact with another User which is part of the same Household.

3.2 Join a Community
You may only join a Community Group if you agree to this Agreement and undoubtedly fulfill the requirements of residence, ownership as defined under “Community” and/or otherwise having clear and legal commitments to the Community Group you choose to join. Joining a Community Group might require a Community Activation Code (“CAD”). The CAD shall be provided to Users from the Community and/or Local Minds, and have the purpose of maintaining security and integrity within the Community Group. It is your responsibility to ensure that you have the full right to use the CAD and join the Community Group in Local Minds. Local Minds shall be informed immediately if a CAD has been misused by Users who do not meet the requirements to join the Community Group. Misuse can lead to irreversible bans from the Application and/or the Website.
Users are able to invite other people to their Community Group in Local Minds. By inviting another User to a Community Group, the User takes full responsibility for ensuring that the User is eligible to join the Community Group as per Local Minds standard.
A Community may have their own rules and regulations for the usage of Local Minds Application and/or Website within the Community Group that you are required to follow to take part of the Community Group in Local Minds. These rules are not in any way superior to Local Minds Terms of Service as the purpose of such rules are to facilitate exceptional circumstances or situations.

3.3 User roles
A Community who enters into an with Local Minds are allowed to use the Application through Community Administrators. The Community Administrators role is to safeguard and monitor the activity within the Community Group as well as interacting on behalf of the Community.
Community Administrators have the right to remove Users from the Community Group if they violate these rules as well as Local Minds Terms of Service. Local Minds do not take responsibility for these actions and can not be accountable for ensuring that Community Administrators act according to Community specific rules and regulations and/or local law, including justification of excluding Users from the Community Group. For any questions regarding Community specific rules and regulations, contact the Community Administration.
User Accounts can have their access and permissions upgraded or downgraded at any time. An upgrade to an account with a standard User Profile will make it a “User Admin”. The purpose of User Admin profiles within the Application and/or Website is mainly to enable Community Administrators to use the Application and/or the Website on behalf of the Community. You are responsible for being up to date with which profile your Account is connected to and comply with rules and regulations according to what is stated in this agreement. As a User Admin, you can create an Activity within Local Minds on behalf of your community. In creation of such Activity, the User Admin decides how Engagement Points should be distributed for participating in the Activity. The User Admin takes full responsibility for understanding how the distribution of Engagement Points is made, based on which method they choose to use.

3.4 Activity

All information presented in and related to an Activity is referred to as “Activity Specification”. Local Minds has no control over and does not take any part of the compliance in the interactions and/or transactions between a User creating an Activity (“Activity Owner”) and a User approved by the Activity Owner to participate in and/or support and/or help and/or attending an Activity (“Activity Participant”).
Local Minds does not take any responsibility for damages due to missing or delayed responses related to an Activity or in conversations related to an Activity. You should not assume that an offer specified in an Activity Specification is valid or legal just because it appears on the Website or in the Application.
3.4.1. Create and participate
Local Minds offer the opportunity to create and participate in tasks, events or other types of interaction, including sharing information (“Activity”) between Users.
Local Minds do not take any responsibility for what Activity the Users create, including the content it generates in and outside the Application and/or the Website, compensations (See definition of “Compensation” below) and/or requirements related to an Activity. It is not allowed to create an Activity with unrealistic offers, including Counter Offers (See definition of “Counter Offers” below).
Local Minds reserves the right to remove any Activity or cancel an ongoing Activity that it considers violating this Agreement or is out of scope. It is not allowed to create an Activity that is considered illegal by law. Abuse may be reported to applicable legal enforcement. It is not allowed to create an Activity that is considered dangerous to one’s health.
Users can find Activities within the Community Group and show explicit interest in executing an Activity for a predetermined reward including but not limited to Engagement Points and/or a transaction of money paid from the Activity Owner (“Compensation”) as specified in the Activity Specification. When attending an Activity, you take full responsibility for the execution in accordance with what is stated (i) as Activity Specification (ii) in other agreements with the Activity Owner (iii) with industry standards (iiii) this Agreement. Local Minds recommends a close dialogue between the Activity Parties, but does not take any responsibility for the information provided between the Activity Parties related to executing an Activity both in and outside the Application and/or the Website.
An Activity Owner solely decides who is allowed to partake in an Activity and any User decides for themselves what to respond to in an inquiry by another User inside the application. An Activity Owner also possesses the right to remove any User he or she has previously accepted for an Activity up until the starting time of said Activity.
The Activity Parties are not allowed to agree on payments to be done outside the Application and/or the Website without completing or updating the Activity Specification in Local Minds accordingly. Misuse can lead to irreversible bans from the Application and/or the Website. The Activity Owner is allowed to edit an Activity Specification only with the full consent from the other Activity Participants.
An offer sent from a User to the Activity Owner, with a proposal including but not limited to a new Activity Compensation, Time, Place, Description, Name (“Counter Offer”) are allowed. Local Minds does not take responsibility for any circumstances or consequences related to a Counter Offer or its procedure. It is the Activity Owners full right to decline and accept Counter Offers within Local Minds Application and/or the Website. An accepted Counter Offer will turn into the new Activity Specification and by that follow the same Terms of an Activity as outlined in this Agreement.
3.4.2. Execute
Both the Activity Owner and the Activity Participant (“The Activity Parties”) are solely responsible for making sure that the execution of an Activity is handled in accordance with this Agreement, Community specific rules and regulations and applicable local law. Local Minds is not in any way a part of the agreement between the Activity Parties, and therefore cannot be held responsible for any damages inflicted by Users entering agreements between one another by using the Application and/or the Website.
Upon arrival to execute an Activity either as an Activity Owner or Activity Participant, you are responsible for confirming any details related to the execution of an Activity with the other Activity Parties either through the Application and/or the Website and/or in dialogue with the other Activity Parties. You are also responsible for showing legal ID documents that can prove your identity. You have the right to cancel an Activity if the identification of other Activity Parties fails to fulfill the requirements of identification.
When using the Application or Website you shall always arrive at the applicable location in a timely manner during the time frame as provided in the Activity Specification. If any of the Activity Parties do not show up during the given time frame, the other User has the right to do as they see fit with the Activity. Unless stated otherwise by the Activity Owner, you are not entitled to receive compensation for an Activity of which has not been successfully executed.
The Parties are responsible for updating the Activity Specification if the circumstances, conditions or needs related to the execution of the Activity change at any time. You should not assume that an Activity is legal just because it appears in the Application and/or the Website. Local Minds does not take responsibility for the procedures related to execution, identification, punctuality or completion of an Activity.
You have no right to cancel an ongoing Activity when using the Application or the Website without Local Minds approval and/or consent from other Activity Parties, except if the Activity directly violates what’s stated in this Agreement.
Upon successful execution in accordance with what’s stated in the Activity Specification the Activity Owner is responsible for completing the Activity in the Application and/or the Website.
3.5 Rewards
A Completed Activity can reward the Activity Parties with Engagement Points. Engagement Points generated from completing an Activity will add up and be referred to as the “Engagement Score”. Local Minds reserves the right to decrease or increase the Engagement Score of any User at any time. Activities within the Community can automatically be compensated with Engagement Points. Local Minds also reserves the right and may at any time decide to change the amount and applicability of Engagement Points automatic compensation, on behalf of a Community.
Engagement Score can be used to claim Rewards within the Application and/or the Website. Only when a Reward has been claimed is considered an Claimed Reward (“Claimed Reward”). When and how Claimed Rewards will be distributed is fully determined by Local Minds. A Claimed Reward that is visible through text or image or any other format in the Application and/or the Website can be withdrawn without consequences for Local Minds. Local Minds cannot promise that a Claimed Reward will be awarded at the specific and required amount of Engagement Score and the content of Claimed Rewards may vary or be removed completely from the Application and/or the Website. Claiming a Reward in the Application and/or the Website does not mean that you have the rights to receive the Claimed Reward, as some Claimed Rewards may include third parties approval before you have the right to claim the Reward. Other errors such as system failure or distribution related errors may occur.
If you fail to fulfill any of the requirements, or if extensive errors prevent normal delivery of any reward, Local Minds reserves the right to change the Claimed Reward or even eliminate it completely. Local Minds also reserves the right and may at any time decide to change the system of which Engagement Scores and Claimed Rewards depends on.

3.6 Payment Plans
Local Minds does not currently charge residents to access the Application or the Website, however Local Minds may, at any point and in its discretion, elect to begin charging fees for use of various portions of the Application, the Website and/or for different levels of subscription or accounts. Local Minds reserves the right and may at any time decide to change the amount and applicability of fees within the Application and/or the Website.
In order to create and maintain a Community Group and access the Application and/or the Website, a Community is committed to a payment plan (“Subscription”). The agreed Subscription will specify the amount of Engagement Points that will be used each month. However, there are no guarantees that any potential invoicing won’t exceed the agreed amount as the invoicing is based on additional events, such as “Point refills” within the Application and/or the Website. Any definitions regarding dates for payments, Engagement Points, cost of Point refills and amount of Engagement Points to spend are made by Local Minds.

3.7 No promises
Local Minds does not guarantee continuous, uninterrupted or safe access to the Application and/or the Website. The operation of the Application and/or the Website might be disturbed by numerous external factors that Local Minds is not able to control. Local Minds does not guarantee availability of the Application and/or the Website or individual features within the Application and/or the Website. You can not make Local Minds responsible for any damages that, directly or indirectly, have been caused by using the Application and/or the Website or by taking part of content present within the Application and/or the Website.

3.8 Reclamations and service disruptions
Local Minds service is an intermediate digital platform via which Users share information to simplify interactions. Local Minds service is not the provider or the producer of an Activity within the Application and/or the Website. Local Minds is not responsible for the quality of the execution or errors that may occur during the execution of an Activity. The Community Administration and the Users in the Community Group are responsible for all the User reclamations concerning Activities and Local Minds direct the reclamations to the administration of the Community Group. A Community Administrator is committed to, on behalf of the Community, review and monitor Activities to ensure the interactions within the Application and/or Website act in compliance with applicable legislation, established principles and practices of the industry. If you detect a technical error or other error in the Local Minds service, you can report the problem to Local Minds through the Application or the Website.

3.9 Customer support
Local Minds offers support that you reach through the chat found on the Website and/or via email to contact@localminds.se or by sending an inquiry through the Application and/or the Website. Please see localminds.se for up to date information regarding support.

3.10 Advertisements
Local Minds reserves the right and may at any time decide to deliver advertisements in the Application and/or the Website.

3.11 Integrations
Local Minds may at any time decide to integrate the plattform with other Third Party platforms which means that Local Minds might be accessed and used through other Third Party platforms. On such occasions, this agreement remains fully valid.

4. Conditions of Use
4.1 Certain responsibilities
It is your responsibility to make sure that all information provided by you to Local Minds is current, accurate, and complete, and that you will maintain the accuracy and completeness of this information going forward. It is also your responsibility to protect your Account information as it should be kept strictly confidential.
4.2 Certain Restrictions
Local Minds does its best to keep the Application and the Website safe and secure but need your help to do it by not violating or attempting to violate the security of the Application or the Website. Except as expressly permitted under other parts of this Agreement, you may not modify, reproduce, duplicate, copy, publish or create derivative works of:

any portion of the Application and/or the Website, any content, photographs, descriptions, software, image or other information or any data taken therefrom (collectively, “Content”).

any information or materials retrieved from either of them, which includes graphics and logos, presentations, in whole or in part. Furthermore, you may not use the Website or Application for any purpose that:

invades any person’s or entity’s privacy or other rights;

misidentifies you or impersonates any person or entity, including, without limitation, any employee or representative of Local Minds; or
-
could otherwise reasonably be deemed or viewed to be unethical, illegal or offensive.

4.3 Local Minds rights
Local Minds has the right to at any time suspend a User or terminate the User’s account and access to the Application and/or Website if the User violates this Agreement or uses the Application and/or Website in a way that is harmful to Local Minds or any third party.

5. Content
5.1 Third party content
The Application and the Website contain and/or provide access to content provided by Users and other third parties, including personal information, Activity Specification, Rewards, advertisement, photographs, comments, graphics and other community information (“Third Party Content”).

5.2 Information accuracy
The third party that any Third Party Content originates from is solely responsible for it, and Local Minds does not and cannot review all Third Party Content made available through any part of the Application or the Website. As such, Local Minds cannot guarantee the correctness of any Third Party Content or fitness for use of any offers posted on via the Application and the Website. In no event shall Local Minds be liable for any damages arising out of your use of the Application and/or the Website, or for any loss or damage of any kind incurred as a result of any Third Party Content or offers. Local Minds cannot guarantee that the Application and the Website, including the Content, will be uninterrupted or error free. Local Minds cannot be held responsible for if the Application and/or the Website is down or if any Content, information or functionality does not work as expected.

5.3 Intellectual property
For the purpose of clarity between you and Local Minds, you are the sole owner of all information and content entered into the Application or the Website or otherwise posted by you. Local Minds AB is the sole owner of the name “Local Minds” as well as the Website, the Application, and all source code, software, content and other intellectual property related to it or included in it. All suggestions and recommendations from you to Local Minds regarding the Application or the Website are, upon submission to Local Minds, owned by Local Minds.
5.4 Copyright infringement
Local Minds respects the intellectual property of others, and asks you to do the same. You may not use the Website, Application, the Content or any other materials from the Website or Application in any manner that may infringe upon any copyright or other intellectual property right of Local Minds or any third party.

6. Term and Termination of Account
6.1 Term
This Agreement shall continue in full force until either: (i) You terminate your Account, or (ii) Local Minds terminates your access to the Application or non-public portions of the Website, with or without notice (the “Term”). When this Agreement is terminated, you no longer have access to the Application or any other non-public portions of the Website.

6.2 Termination of account
You are entitled to terminate your Local Minds account at any time. Choose “Delete account” or any corresponding function in the Application and/or the Website, or contact Local Minds. Local Minds will then delete or anonymise any personal information that can be attributed to you, except for certain information that Local Minds by law may have to save and archive.

7. Other important stuff

7.1 Unforeseen events
Local Minds shall not be liable to you for failure or delay in performing any obligations hereunder if such failure or delay is due to circumstances beyond its reasonable control.

7.2 Changes or updates of the agreement
Local Minds may change or update this Agreement from time to time, and any such change or update will be set in effect when posting the updated Agreement on the Website or within the Application. When we make major changes to the Agreement, we will provide you with prior notice as appropriate under the circumstances, e.g., by displaying a notice within the Application, the Website or by sending you an email. If you do not agree to the changed Agreement, you have the right to terminate your Account before the changed Agreement comes into force.

7.3 Termination of service
Local Minds reserves the right to modify, suspend, or discontinue the Application and the Website without any notice at any time and without any liability to you.

7.4 Miscellaneous
All disputes arising hereunder or in connection with this Agreement, the Application and/or the Website shall be resolved by the laws of Sweden and the District Court of Stockholm (sw. Stockholms tingsrätt), Sweden. Local Minds has the right to transfer its rights and obligations under this Agreement. Furthermore, Local Minds has the right to hire subcontractors for the fulfillment of its obligations. In such cases is Local Minds fully responsible for the work performed by the subcontractors. If any part of this Agreement is held to be unenforceable or invalid for any reason, said part will be changed and interpreted to best accomplish its original intent and objectives. Any remaining parts will continue in full force.
